1. Acceptance of Terms

By accessing the Flikt.AI platform (“Platform”), submitting a quote request, or uploading any construction documents, you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“TOS”). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

These TOS govern your use of the Platform for browsing, quote requests, and document submissions. A separate Master Service Agreement (“MSA”) and Statement of Work (“SOW”) will govern any paid engagement for conflict detection services.

2. Platform Description

Flikt.AI provides AI-powered construction document conflict detection services. The Platform analyzes PDF construction documents to identify coordination conflicts between disciplines (architectural, structural, MEP, fire protection) before they result in costly field rework.

3. Quote Request Process

When submitting a quote request, you may be asked to provide project information including but not limited to: project name, location, construction value, project type, anticipated timeline, and sample construction documents. By submitting this information, you acknowledge and agree to the following:

3.1 Accuracy. All information submitted is accurate and complete to the best of your knowledge.

3.2 Authorization. You have the legal right and authority to share the submitted project information and documents.

3.3 No Obligation. Submitting a quote request does not obligate either party to enter into a paid engagement. Quotes are estimates and may be adjusted based on final project scope.

3.4 Quote Validity. Unless otherwise stated, quotes are valid for thirty (30) calendar days from the date of issuance.

4. Document Submission & Confidentiality

4.1 Confidential Treatment. All construction documents, project data, and proprietary information submitted through the Platform (“Confidential Information”) will be treated as confidential. Flikt.AI will not share, sell, license, or disclose Confidential Information to any third party without your prior written consent, except as required by law.

4.2 Limited Use for Quoting. Documents submitted during the quote process will be used solely for the purpose of evaluating project scope and preparing a cost estimate. Flikt.AI will not perform a full conflict detection analysis on submitted documents until a paid engagement is executed via MSA and SOW.

4.3 AI Processing Disclosure. You acknowledge that Flikt.AI uses artificial intelligence and machine learning technologies to process construction documents. Submitted documents may be processed by AI systems for the limited purpose of scope evaluation during the quote phase.

4.4 Data Retention. Documents submitted for quote purposes will be retained for a period of ninety (90) days following quote issuance. If no engagement is executed, documents will be securely deleted. You may request earlier deletion at any time by contacting support@flikt.ai.

5. Intellectual Property

5.1 Your Content. You retain all ownership rights to documents and data you submit. By submitting documents, you grant Flikt.AI a limited, non-exclusive, revocable license to access and process such documents solely for the purpose of providing quote estimates and, if a paid engagement is executed, delivering the contracted services.

5.2 Flikt.AI Property. The Platform, its underlying technology, algorithms, AI models, user interface, and all related intellectual property remain the sole property of Flikt.AI. Nothing in these TOS grants you any rights to Flikt.AI’s intellectual property.

5.3 Aggregated & De-identified Data. Flikt.AI may use aggregated, anonymized, and de-identified data derived from your documents to improve its AI models and services, provided such data cannot reasonably be used to identify you, your projects, or any specific proprietary design information.

6. Account & Platform Use

6.1 Account Security. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

6.2 Prohibited Uses. You agree not to: (a) reverse engineer, decompile, or attempt to derive the source code of the Platform; (b) use the Platform for any unlawful purpose; (c) upload documents containing malware or malicious code; (d) attempt to gain unauthorized access to any part of the Platform; or (e) use automated scripts or bots to access the Platform without prior written consent.

7. Disclaimers & Limitation of Liability

7.1 Quote Disclaimer. Quotes provided through the Platform are estimates based on the information provided and are not guaranteed pricing. Final pricing will be determined in the executed SOW.

7.2 No Professional Advice. Information provided during the quote process does not constitute professional engineering, architectural, or construction management advice. Flikt.AI’s conflict detection services are supplemental tools and do not replace professional review obligations.

7.3 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIKT.AI’S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TOS OR ANY SERVICES PROVIDED HEREUNDER SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO FLIKT.AI UNDER THE APPLICABLE STATEMENT OF WORK. IN NO EVENT SHALL FLIKT.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Modifications

Flikt.AI reserves the right to modify these TOS at any time. Material changes will be communicated via email to registered users or by prominent notice on the Platform. Continued use of the Platform following such modifications constitutes acceptance of the updated terms.

9. Governing Law & Dispute Resolution

These TOS shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these TOS shall first be subject to good faith negotiation for a period of thirty (30) days, followed by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
